Governance & Risk Management

Corporate Governance Framework Development

Sound corporate governance helps an organisation achieve its outcomes and obligations and manage the organisational and business risks. The extensive knowledge, skills and experience of WalterTurnbull’s management consultants, derived from working in the public, private and not for profit sectors throughout Australia, ensure the delivery of practical outcomes which takes account of contemporary better practice approaches to corporate governance.

The fundamentals of corporate governance, based on contemporary thinking, include a focus on the quality of decision making and management processes as well as ensuring that there are adequate structures, policies, procedures and systems in place to facilitate the governance and management of the organisation.

Corporate Governance Framework Reviews

Sound corporate governance is a fundamental element of a successful organisation. Measuring how effective corporate governance is in an organisation provides both management and key stakeholders with an indication of the corporate “health” of the organisation.

Corporate Governance Charters, Manuals and Guidelines

To support corporate governance frameworks in organisations WalterTurnbull can develop charters, manuals and guidelines for Boards and/or Committees of Management that reflect contemporary better practice corporate governance principles and practices.

These documents can be tailored to the public, private and not for profit sectors.

Developing Risk Management Frameworks

An effective risk management framework:

  • Embeds policies, leadership and common approaches across the organisation for identifying, assessing and monitoring risks, defining roles and responsibilities, providing staff skills and training, establishing effective communications, integrating the various elements of risk (insurance, OH&S, IT, fraud control, business continuity management and security) and providing appropriate resources for risk management; and
  • Manages risks at the strategic, business unit and project levels – identification, assessment and monitoring of risks.

Risk Assessments and Risk Management Plans

“Risk is the chance of something happening that will have an impact on objectives. It is measured in terms of consequences and likelihood.”

“Risk management is the culture, processes and structures which come together to optimise the management of potential opportunities and adverse effects.”

Business Continuity Planning

Business continuity plans (BCPs) assist organisations to manage the risks of a major disruption to their critical services. A BCP sets out the steps that need to be taken to recover the organisation’s critical services. BCP is a major element of an organisation’s corporate governance and risk management framework.

Modern corporate governance principles require organisations to develop, exercise and maintain BCPs. These requirements are expressed in Australian Standards, better practice statements, and industry regulations.

Pandemic Continuity Planning

The growing threat of pandemic disease (including Avian Influenza) has prompted many organisations to develop pandemic continuity plans or review their Business Continuity Plans (BCPs) to include pandemic continuity planning.

The Department of Prime Minister and Cabinet requires all Commonwealth agencies to prepare Pandemic Continuity Plans concerning their own operations.

At the Commonwealth level, there are several pandemic plans that are of significance, including the National Action Plan for Human Influenza Pandemic and the Australian Health Management Plan for Pandemic Influenza. The National Action Plan for Human Influenza Pandemic presents the decision-making and communication paths that apply in the event of a pandemic outbreak.
